Purpose of Job
The key deliverable is to act as in-house counsel delivering high quality,
comprehensive, authoritative legal service.
Responsibilities
This role is accountable for:
* Organizing, preparing agendas for and taking minutes of board meetings
and annual general meetings (AGMs);
* Maintaining statutory books, including registers of members, directors
and secretaries;
* Dealing with correspondence, collating information and writing reports,
ensuring decisions made are communicated to the relevant company
stakeholders;
* Contributing to meeting discussions as and when required, and advising
members of the legal, governance, accounting and tax implications of
proposed policies;
* Monitoring changes in relevant legislation and the regulatory environment
and taking appropriate action;
* Liaising with external regulators and advisers, such as lawyers and
auditors;
* Taking responsibility for the health and safety of employees and managing
matters related to insurance and property;
* Developing and overseeing the systems that ensure the company complies
with all applicable codes, in addition to its legal and statutory
requirements.
* Monitoring the administration of the company's pension scheme;
* Overseeing and renewing insurance cover for employees, equipment and
premises;
* Entering into contractual agreements with suppliers and customers;
* Managing office space and property and dealing with personnel
administration;
* Overseeing public relations and aspects of financial management.
* Ensuring that the company"s and directors" respective responsibilities
under company law are complied with, including, inter alia, those relating
to:
o maintenance of minutes of Board and Committee meetings;
o maintenance of statutory registers;
o filing of returns with the Registrar of Companies as required and within
statutory
timeframes;
o convening of members" meetings and provision of requisite notice, as
required;
o ensuring that the provisions of the company"s establishing legislation
and
Memorandum and Articles of Association are adhered to;
o management of amendments to the company"s constitutional documents as
required
Skills and Competencies
Essential
* Excellent legal skills, including drafting and negotiating contracts and
strategic management of contractual disputes.
* Ability to apply expertise to a range of legal issues.
* A "can do" attitude with a readiness to "roll your sleeves up" and get
down to tackling and resolving issues and producing excellent outcomes.
* Ability to turn around enquiries quickly and tackle issues at short
notice.
* Excellent written and oral communications, including the ability to work
effectively with a range of people and the ability to deliver advice in a
clear and user-friendly way.
* Entirely self-motivated, self-sufficient, providing the engine room and
energy of the Legal Department.
* Familiar with absorbing detail and conveying it in a clear and concise
fashion to all levels of the organisation.
* Customer service skills/ability to be robust as well as facilitative.
* Excellent influencing and negotiating skills
* An ability to understand a complex organisation with many different work
streams and to balance competing demands.
